Jacob Steinmetz

Partner

Jacob Steinmetz is a founding partner of the firm and heads the firm’s securities and corporate departments.

Jacob is an experienced corporate finance lawyer specialising in complex cross-border deals and a wide variety of corporate finance transactions including M&As. Jacob’s securities practice includes flotations, secondary issues and securitisation; he was involved in the creation of the first sophisticated financial instrument in Israel.

Jacob advises public and private companies, leading banks, financial institutions and pension funds on corporate transactions. Jacob has advised a number of Israeli companies on their successful share issuances on the Israeli, US and English stock markets.

Jacob Steinmetz is a member of the Israel Bar Association.

Daniel Haring

Partner

Daniel Haring heads the firm’s property department.

Daniel is a property specialist with considerable experience of commercial and residential property work for a wide range of public and private companies and local authorities.

Daniel has particular expertise in property management and investment work and represents a number of reputable construction companies, developers and architects advising on all legal aspects of property development and financing, including acquisition, leasing and zoning issues.

Daniel Haring is a member of the Israel Bar and is registered as a Legal Consultant in New York State.

Manny Gurman

Partner

Manny Gurman specialises in all aspects of corporate finance and securities law and has led many of the public offerings undertaken by the firm’s clients on the Tel Aviv Stock Exchange, the London Stock Exchange, AIM and NASDAQ.

In addition, Manny handles numerous and varied transactions in the corporate and commercial area including M&As, private equity investments and secularization. Manny has an excellent reputation with top tier UK underwriters and law firms. Manny also advises clients on the structuring of large international funds and other investment vehicles.

Manny’s practice includes a significant amount of commercial work for Israeli clients with companies and other entities based in the Russian Federation.

Manny Gurman is a member of the Israel Bar Association.

Manny speaks Hebrew, English and Russian.

Oren Erdman

Partner

Mr. Erdman is a senior member of the firm’s Property Law Department and manages the urban renewal division.

Mr. Erdman has substantial experience in handling a wide range of real estate projects, both commercial and residential projects, condominiums, shopping malls, hospitals and car parks. He provides legal advice on real estate law, including tax and administration, change of use and actual building negotiations as well as municipal law and planning and construction law.

Mr. Erdman has extensive experience in the field of urban renewal and representation of the largest real estate companies in the country. As such, he assists inter alia in the submission of applications to authorities, drafting of contracts with building entities, legal assessment on issues of land ownership, financing and contracts for sale. In addition, Mr. Erdman provides legal assistance for land ownership negotiations, purchase and sale, and rental agreements.

Mr. Erdman studied law at the Rishon LeZion College of Management, Academic Studies Division (LL.B. 2001) and has been a member of the Israel Bar Association since 2002. Mr. Erdman speaks Hebrew, English and Spanish.

Idan Azaraty

Partner

Idan is an attorney in our Capital Markets department with expertise in commercial law, capital markets and debt arrangements.

Idan provides ongoing legal advise and representation to private companies, public companies traded on Tel Aviv Stock Exchange, and other financial and strategic entities in Israel and abroad. Idan handles a variety of aspects related to capital markets, corporate law, securities, mergers and acquisitions and financing, such as private and public offerings and a variety of commercial transactions.

In addition, Idan has knowledge and experience in the handling and maintenance of insolvent companies, including submitting requests for a stay of proceedings, and the formation of creditor arrangements under Section 350 of the Israel Companies Law and the Law of Insolvency and Economic Recovery and reorganizations.

Among the most notable transactions involved:

Merger of cable companies totaling $1 Billion USD;
Acquisition of Mirs Communication Ltd. by Hot Communication Systems Ltd. worth approximately 1 Billion NIS;
The debt settlement totaling approximately 2 Billion NIS (including, among others of Shafir East Europe, Scorpio Real Estate, Mirland Development corporation PLC, Edri-el Israel Real Estate Assets, etc.) ;
Acquisition of Benefit Ltd. by Phoenix Ltd. for approximately 40 million NIS;
Sale of ISL to Clal Insurance Ltd. for approximately 50 million NIS.
Idan studied at Haifa University (B.A. in Economics, 1998 (Honors); LL.B. (magna cum lauda), 1998). He was admitted to the Israel Bar Association in 2003.

Moshe Barhod

Moshe provides legal representation in disputes with respect to all fields of commercial law including matters that relate to, inter alia, shareholders, commercial torts, trade secrets, contracts, real estate, IP, banking, administrative appeals, tenders and more.

Moshe has a deep understanding of the Israeli business sector and has provided legal assistance for many years to clients involved in various branches of the market, including technology companies, construction companies, venture capital funds, media, hospitals, and more. Moshe represents his wide range of clients in all levels of court proceedings, quasi-legal proceedings and various other forums such as arbitration and mediation. Additionally, Moshe also represents private venture capitalists and businesspeople regarding various legal issues.

Moshe has vast experience in commercial law, which gives him a significant advantage in understanding his client’s legal and commercial status.

Throughout his legal experience, Moshe gained unique expertise in property law and accompanies real estate developers and construction companies on a wide variety of proprietary issues that deal with the planning and construction processes, condominiums, property rights, administrative appeals and tender issues. Moreover, Moshe’s cases have led to numerous legal precedents in the aforementioned practice fields.

Additionally, Moshe is highly experienced in a wide variety of class action suits, from private companies to different governmental authorities.

Yossi Rosenblum

Yossi heads the Hi-Tech & Technology and Venture Capital department of the firm.

Yossi practices in the fields of commercial law, corporate laws, venture capital, high-tech & technology, intellectual property, investment mergers & acquisitions, financing, banking and international transactions.

Yossi provides legal consultation services to various companies, private and public, which operate in different commercial fields, especially in the fields of high-tech and technology. Such services include ongoing legal consultation relating to the clients’ activities, drafting of all ongoing agreements (such as commercial, corporate, technology, intellectual-property and employment agreements), legal support to public offerings and transactions of the clients, participation in meetings of boards of directors and shareholders and provision of legal opinions. Yossi acquired extensive experience in drafting of technology and intellectual property related agreements.

Yossi represents venture capital funds and various local and foreign investment companies in investment and financing transactions with various companies, especially in high-tech companies.

Yossi represents various institutional investors in financing, investment, loan and credit and other complex transactions.

Yossi has experience in representing domestic and foreign clients in complex international transactions in the fields of technology with entities from various countries.

Yossi has been involved in representation of clients in merger & acquisition transactions of various companies.

Yossi lived for several years in the United States and he is also fluent and works in the English language.

Liav Israel

Partner

Liav handles a variety of commercial agreements and provides legal advice on a diverse array of legal issues. His practice focuses on capital markets, finance and regulation.

Liav has broad experience and expertise in representing and advising “institutional entities” (insurance companies, pension funds and provident funds) and investment houses.

Liav also specializes in data and privacy protection. He advises clients on negotiating commercial agreements that entail information security and protection issues. He also guides data handlers on the best practices of collecting, storing and processing personal information.

Liav read law at the Tel Aviv University (LL.B., 1998, cum laude) and holds Master’s degrees in Economics (M.A., 2003) and Business Administration (M.B.A., 2010, cum laude), also from Tel Aviv University.

Liav has been a member of the Israel Bar Association since 1999.

Shahar Monovich

Adv. Shahar Monovich is a partner in the firm’s real estate department.

Adv. Monovich practices in real estate transactions in the areas of offices, commerce, logistics, industry, housing, and other transactions for the purchase / sale of projects and special lands for development and improvement.

Adv. Monovich has a unique expertise in the field of loan / financing agreements secured by real estate lien and he provides legal advice on these issues to the big and important institutional firms in Israel.

Adv. Monovich brings with him to every transaction extensive legal knowledge, entrepreneurial thinking, and especially a lot of experience, which includes legal treatment of some of the big and most significant transactions made in Israel in the last decade in the field of real estate. All of these allow Adv. Monovich to handle big and complex transactions that sometimes require a lot of thinking “out of the box”, from the purchase / sale stage to the completion of the transaction in the registry.

Miriam Toledano

Partner

Miriam specializes in capital markets, securities and corporate law and is a member of the Commercial Law department. In this capacity, Miriam possesses extensive experience in leading capital and debt raising, advises clients regarding controlling shareholder transactions, corporate governance, and more.

Prior to joining the Firm, Miriam worked as an accountant for PwC Israel (Kesselman & Kessleman) and as CFO to various public companies.

Menachem Ofer

Partner

Menachem heads the labor law department of the firm. He advises on all aspects of employment law including employer-employee relations, share incentive plans and collective bargaining agreements.

Menachem is an expert on the laws governing foreign workers in Israel.

Menachem represents various clients in the labor courts and the High Court of Israel and also represents insurance companies in the collection process of provident fund amounts from employers. Menachem read law at Bar-Ilan University Faculty of Law (LL.B., 1986) and has been a member of the Israel Bar Association since 1987.

Menachem speaks Hebrew and English.

Andrew Larah

Partner

Andrew’s practice centres on advising Israel’s leading financial institutions, investment houses, family offices and HNWIs on their investments in international private equity, private debt and hedge funds. Andrew also specializes in the drafting of limited partnership agreements and related documentation.

Andrew also has significant experience in advising both public and private companies on a variety of corporate and commercial cross-border transactions, including flotations, mergers and acquisitions, venture capital fund raisings and corporate re-organisations and the drafting of a wide variety of corporate and commercial agreements.

Andrew trained and worked in the Corporate Finance Department of Addleshaw Booth & Co. (a leading UK law firm, now Addleshaw Goddard LLP) dealing with both large UK and international clients.

After moving to Israel, Andrew worked in the International Corporate Departments of both Yigal Arnon & Co. and Barnea & Co.

Andrew read law at the University of Manchester (LL.B (Hons) 1996) and attended The College of Law, Store Street, London, 1997.

Andrew has been a member of the Law Society of England and Wales since 1999 and the Israel Bar Association since 2004.

Shany El-gad

Partner

Shany El-Gad is a partner in the Commercial Department, specializing in commercial law, with particular focus on national and cross-border commercial transactions and corporate advisory work.

Adv. Shany El-Gad has extensive experience in advising businesses and strategic alliances on a broad range of commercial contracts including manufacturing and design services agreements, agency and distribution agreements, licensing arrangements and IT outsourcing agreements.

Adv. Shany El-Gad also has significant experience in advising and representing clients in relation to corporate matters, including corporate governance, shareholders agreements, mergers and acquisitions transactions.

Prior to joining SHG, Adv. Shany El-Gad assumed the role of General Counsel at the YSB Group and practiced law at two law firms (sequentially), where she provided a wide range of legal commercial services to both private and public companies, including a multinational leading EMS provider.

Adv. Shany El-Gad is also a qualified mediator, a member of the ADR forum of the Israel Bar Association, and a volunteer mediator at the Mediation and Dialog Community Center of the Municipality of Ra’anana.

Adv. Shany El-Gad holds LL.M and B.A. degrees. During her LL.M. studies at Tel-Aviv University, and under the supervision of Prof. David Gilo, Adv. Shany El-Gad completed a thesis research focused on the Complementary Effect of Corporate Governance and Product Market Competition on Public Companies’ Performance.

Nir Zohar

Nir represents private and public companies in a wide array of aspects of their day-to-day corporate reporting and compliance issues.

His practice involves capital markets, M&As, commercial transactions, joint ventures, and funding.

As part of his practice, Nir provides overall advice and legal support to corporations from the initial stages of incorporation through their ongoing activities.

Moreover, Nir has a unique expertise with insolvency proceedings of public companies, a knowledge that allows him to consult his clients in times of crisis.

Nir is a graduate of the Faculty of Law and the Department of Accounting at Tel Aviv University.

Irit Yalon

Irit is a senior associate whose primary area of work is advising on the legal aspects of private and government tenders.

Irit is also responsible for advising leading financial institutions, provident funds and insurance companies on fund investments and bond issuances.

Irit’s more general practice includes the drafting and negotiation of a wide range of complex commercial agreements.

Naomi Kresh

Partner

Naomi Kresh is a partner in the firm’s private equity, venture capital and funds department.

Naomi represents many of Israel’s leading institutional investors in their investments in Israeli and foreign private equity and venture capital funds.

Naomi advises on the structuring and formation of funds as well as representing funds with their ongoing operations and the acquisition and sale of their portfolio assets.

Naomi has over 20 years’ experience in all aspects of corporate and commercial law, advising clients on corporate governance, negotiating commercial transactions and accompanying start-ups from inception to exit, including public offerings on the AIM of the London Stock Exchange.

Naomi trained at S. Horowitz & Co. where she was part of the corporate and commercial team.

Naomi read law at the University of London (LL.B. (Hons) 1998) and has been a member of the Israel Bar Association since 2001.

Oran is an attorney in the litigation department and also deals in the commercial field at the firm.

Oran joined our firm in 2021 as an intern and after passing the bar exam, he returned to our ranks as a lawyer.
Oran is involved in representing companies in various disputes, in complex litigation cases as well as in commercial transactions.

Itamar Hauser

Itamar is an associate in the Capital Markets department of the firm and deals with corporate law and commercial law.

Graduated with a Masters’ degree in International Relations (MIA) from Columbia University in the city of New York.

Graduated with a Bachelor’s degree in law (LL.B.) and government studies (B.A.) (cum laude) from Reichman University in Herzliya.

Lee Greenberg
